Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Holio platform, website and services provided by Holio B.V., Breukelen, Netherlands ("Holio", "we", "us"). By using our services you agree to these Terms. Questions? Email sales@holio.nl.

1. Definitions

  • "Customer" means the legal entity or individual that has entered into an agreement with Holio to use the platform.
  • "Platform" means the Holio software-as-a-service application, dashboard, APIs and related services.
  • "Hardware" means the sensors, smart TRV valves, gateways and other physical devices supplied or recommended by Holio.
  • "PMS" means the Property Management System used by the Customer (e.g. Mews, Noovy, Oracle Opera).
  • "Services" means the Platform, Hardware supply, onboarding, support and any other services provided by Holio.
  • "User" means any person authorised by the Customer to access the Platform.

2. Access to the platform

Subject to these Terms and timely payment of applicable fees, Holio grants the Customer a non-exclusive, non-transferable right to access and use the Platform during the subscription term for the Customer's internal business purposes.

The Customer is responsible for maintaining the confidentiality of login credentials and for all activity that occurs under Customer's account. Credentials must not be shared between Users. The Customer must notify Holio immediately at sales@holio.nl if it suspects any unauthorised access.

3. Acceptable use

The Customer and its Users must not:

  • Use the Platform for any unlawful purpose or in violation of applicable laws or regulations.
  • Attempt to reverse engineer, decompile or disassemble any part of the Platform.
  • Access the Platform to build a competing product or service.
  • Introduce malware, viruses or any harmful code.
  • Attempt to gain unauthorised access to any system, network or data.
  • Resell, sublicense or otherwise make the Platform available to third parties without Holio's prior written consent.

Holio reserves the right to suspend access immediately if it reasonably believes a violation of these rules has occurred.

4. Subscription & payment

Fees are charged on a monthly or annual basis as set out in the Customer's order or pricing plan. All prices are exclusive of VAT (btw) unless stated otherwise. Invoices are due within 14 days of the invoice date.

Holio may adjust pricing with 60 days' written notice. If the Customer objects to a price increase, they may terminate the subscription before the new pricing takes effect.

Late payments may incur statutory interest under Dutch law (wettelijke handelsrente). In the event of sustained non-payment, Holio may suspend access to the Platform after providing written notice.

The minimum contract length is 3 years from the date of signing. After the minimum term, subscriptions continue on a rolling monthly basis unless cancelled in writing with 30 days' notice.

5. Hardware

Where Holio supplies Hardware, the following applies:

  • Title to Hardware passes to the Customer upon full payment of the hardware invoice.
  • Hardware carries a 12-month warranty against manufacturing defects under normal use.
  • The warranty does not cover damage caused by misuse, tampering, water ingress (beyond rated IP class), or unauthorised modification.
  • The Customer is responsible for installing Hardware in accordance with Holio's instructions. Holio is not liable for damage resulting from incorrect installation by the Customer.
  • Battery-operated devices have a rated battery life of approximately 5 years under normal use. Battery life may vary depending on sensor activity and environmental conditions.

6. Data processing

Holio processes personal data in connection with the provision of the Services. The parties' respective obligations as data controller and data processor are governed by Holio's Privacy Policy and, where applicable, a Data Processing Agreement (DPA) entered into between the parties.

The Customer, as data controller, is responsible for ensuring it has a lawful basis under the GDPR for sharing reservation and guest data with Holio via PMS integrations. Holio processes such data solely to provide the Services and does not use it for its own commercial purposes.

7. Intellectual property

All intellectual property rights in the Platform, including software, algorithms, designs, documentation and trademarks, remain the exclusive property of Holio B.V. Nothing in these Terms transfers any IP rights to the Customer.

The Customer retains ownership of all data it provides to or generates through the Platform ("Customer Data"). Holio is granted a limited licence to process Customer Data solely to provide the Services.

Upon termination, Holio will make Customer Data available for export for 30 days, after which it will be deleted in accordance with the Privacy Policy.

8. Availability & support

Holio targets a platform uptime of 99.5% per calendar month, excluding scheduled maintenance windows (of which Customers will be notified in advance) and events outside Holio's reasonable control.

Support is available via email at sales@holio.nl. Starter plan customers receive email and phone support during business hours (Monday–Friday, 09:00–17:00 CET). Professional and Enterprise plans include priority support response times as specified in the relevant plan description.

9. Liability

To the maximum extent permitted by applicable law:

  • Holio's total aggregate liability to the Customer for any claim arising under or in connection with these Terms is limited to the total fees paid by the Customer in the 3 months preceding the event giving rise to the claim.
  • Holio is not liable for indirect, consequential, special or punitive damages, loss of profits, loss of data, or loss of revenue, even if advised of the possibility of such damages.
  • Holio is not liable for failures or delays caused by events outside its reasonable control, including power outages, internet service disruptions, acts of government, natural disasters or third-party PMS outages.

Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded under Dutch law.

10. Term & termination

These Terms remain in force for the duration of the Customer's subscription. Either party may terminate the agreement:

  • At the end of the minimum contract period, with 30 days' written notice.
  • Immediately, if the other party commits a material breach that is not remedied within 14 days of written notice.
  • Immediately, if the other party becomes insolvent, files for bankruptcy, or is subject to an application for suspension of payments (surseance van betaling).

Upon termination, the Customer's right to access the Platform ceases. Sections 6 (Data processing), 7 (Intellectual property) and 9 (Liability) survive termination.

11. Governing law

These Terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands, unless mandatory consumer protection law requires otherwise.

12. Changes to these Terms

Holio may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your subscription before the new Terms take effect.
