Subject to these Terms and timely payment of applicable fees, Holio grants the Customer a non-exclusive, non-transferable right to access and use the Platform during the subscription term for the Customer's internal business purposes.
The Customer is responsible for maintaining the confidentiality of login credentials and for all activity that occurs under Customer's account. Credentials must not be shared between Users. The Customer must notify Holio immediately at sales@holio.nl if it suspects any unauthorised access.
The Customer and its Users must not:
Holio reserves the right to suspend access immediately if it reasonably believes a violation of these rules has occurred.
Fees are charged on a monthly or annual basis as set out in the Customer's order or pricing plan. All prices are exclusive of VAT (btw) unless stated otherwise. Invoices are due within 14 days of the invoice date.
Holio may adjust pricing with 60 days' written notice. If the Customer objects to a price increase, they may terminate the subscription before the new pricing takes effect.
Late payments may incur statutory interest under Dutch law (wettelijke handelsrente). In the event of sustained non-payment, Holio may suspend access to the Platform after providing written notice.
The minimum contract length is 3 years from the date of signing. After the minimum term, subscriptions continue on a rolling monthly basis unless cancelled in writing with 30 days' notice.
Where Holio supplies Hardware, the following applies:
Holio processes personal data in connection with the provision of the Services. The parties' respective obligations as data controller and data processor are governed by Holio's Privacy Policy and, where applicable, a Data Processing Agreement (DPA) entered into between the parties.
The Customer, as data controller, is responsible for ensuring it has a lawful basis under the GDPR for sharing reservation and guest data with Holio via PMS integrations. Holio processes such data solely to provide the Services and does not use it for its own commercial purposes.
All intellectual property rights in the Platform, including software, algorithms, designs, documentation and trademarks, remain the exclusive property of Holio B.V. Nothing in these Terms transfers any IP rights to the Customer.
The Customer retains ownership of all data it provides to or generates through the Platform ("Customer Data"). Holio is granted a limited licence to process Customer Data solely to provide the Services.
Upon termination, Holio will make Customer Data available for export for 30 days, after which it will be deleted in accordance with the Privacy Policy.
Holio targets a platform uptime of 99.5% per calendar month, excluding scheduled maintenance windows (of which Customers will be notified in advance) and events outside Holio's reasonable control.
Support is available via email at sales@holio.nl. Starter plan customers receive email and phone support during business hours (Monday–Friday, 09:00–17:00 CET). Professional and Enterprise plans include priority support response times as specified in the relevant plan description.
To the maximum extent permitted by applicable law:
Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded under Dutch law.
These Terms remain in force for the duration of the Customer's subscription. Either party may terminate the agreement:
Upon termination, the Customer's right to access the Platform ceases. Sections 6 (Data processing), 7 (Intellectual property) and 9 (Liability) survive termination.
These Terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent court in Amsterdam, the Netherlands, unless mandatory consumer protection law requires otherwise.
Holio may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your subscription before the new Terms take effect.
